Terms and Conditions of Consumers Labamu


These Terms and Conditions (“Terms”) govern the relationship between PT Labamu Sejahtera Indonesia (“Labamu”, “we”, or “us”) and any person who accesses and/or uses (“You” or “User”) the Labamu website, www.labamu.co.id (the “Website”), or the Labamu mobile application (the “App”), whether manually or through automated systems.

 

The Website and the App, together with the information, features, and services contained therein, are collectively referred to as the “Services”.

 

By accessing and/or using the Website and/or App, you acknowledge that you have read, understood, accepted, and agreed to be bound by these Terms. If you do not agree to any part of these Terms, you are not permitted to access or use the Services.

 

The use of the Services includes but is not limited to: (i) downloading, installing, or opening the App; (ii) accessing the Website from any device; (iii) creating, managing, and/or using a User account; and(iv) utilizing features, content, and/or services available through the Services.

 

A. Introduction

Labamu is a technology company established under the laws of the Republic of Indonesia. Through the Website and App, Labamu provides financial recording services, business management tools, and digital business support features designed to help Users manage and grow their business activities more efficiently.

 

These Terms may be amended from time to time by Labamu in accordance with applicable laws and regulations. You are expected to periodically review this page to ensure you are aware of the latest version of the Terms. Your continued use of the Services constitutes your acceptance of any changes.

 

When using certain Services, you may be subject to additional guidelines or terms applicable to new features, products, or supplementary services, which will be communicated via the Website or App.

 

Labamu may provide translations of these Terms into other languages. In the event of any discrepancy between the Indonesian version and the translated version, the Indonesian version shall prevail and be binding.

 

B.  Services 

Labamu provides a digital platform through the Website and App designed to support Users’ business management needs and activities. The Services include, but are not limited to:

§  Digital financial recording and management;

§  Business operational management, including products, inventory, customers, and employees;

§  Transaction and payment features facilitating sales and related services;

§  Additional features that may be developed and/or offered from time to time to enhance User experience and convenience. Any new features will automatically be deemed part of the Services and subject to these Terms or any applicable additional terms that may be communicated when launched.

 

Hardware and Devices. Labamu may offer or facilitate the provision, lease, or sale of certain hardware or devices (“Hardware”) to support the use of the Services, including but not limited to point-of-sale devices, printers, or accessories. The ownership, warranty, repair, and replacement of such Hardware shall be subject to specific terms notified to the User at the time of purchase or delivery. Unless otherwise stated, Hardware is provided ‘as-is’, and Labamu shall not be responsible for any defects, damage, or loss resulting from misuse, modification, or unauthorized repair.

 

Labamu reserves the right, at any time, to add, modify, deactivate, or remove any part or all features within the Services, at its sole discretion, provided such actions do not contravene applicable laws and regulations.

 

C.  Third-Party Relationships

Through the Services, Users may access or use goods, services, or content provided by third parties who are Labamu’s partners or who cooperate with Labamu’s partners (“Third Parties”). Such information, products, or services are provided solely for User convenience and shall not be construed as Labamu’s recommendation or endorsement.

 

Any transaction, interaction, or agreement between Users and Third Parties constitutes a direct legal relationship between the User and the relevant Third Party. Users are subject to the terms, conditions, and policies of such Third Parties. Labamu does not control, guarantee, or assume responsibility for the quality, accuracy, availability, security, legality, or continuity of services provided by Third Parties.

 

Users hereby release Labamu, its affiliates (entities under common ownership or control), officers, directors, commissioners, shareholders, and employees from any claims, losses, or liabilities arising from interactions, transactions, or disputes between Users and Third Parties.

 

Financial Services (Lending Enablement). Certain features within the Services may enable Users to access financial products or lending facilities provided by licensed financial institutions, banks, or other regulated entities (“Financial Service Provider”). Labamu acts solely as a technology enabler and does not itself provide lending, credit, deposit-taking, or financial advisory services. All credit assessments, approvals, and disbursements are made exclusively by the relevant Financial Service Provider under its own policies and in accordance with applicable laws and regulations. Labamu shall not be liable for any obligations, decisions, or losses arising from the use of or reliance on such Financial Service.

 

Payment Services. The Services may include features that allow Users to accept, send, or process payments through third-party payment processors or banks institutions (“Payment Service Provider”). Payment processing, settlement, and fund transfers are performed entirely by such Payment Service Provider in accordance with their own terms and regulatory obligations. Labamu shall not be liable for any delays, errors, chargebacks, reversals, or losses arising from the actions or omissions of Payment Service Provider or other financial institutions.

 

AI and Automated Services. Certain features within the Services may utilize artificial intelligence (“AI”) or machine learning technologies, including tools or systems provided by third-party partners (“AI Service Provider”). Such features may assist Users in generating, analysing, or processing information to enhance decision-making, productivity, or business management. AI-generated outputs are provided for informational and assistive purposes only and should not be considered professional advice. Labamu does not guarantee the accuracy, completeness, or reliability of any AI-generated content and shall not be liable for any actions taken or decisions made based on such content. Users acknowledge and agree that any use of AI features constitutes acceptance of the relevant AI Service Provider’s terms and conditions, and that Labamu’s role is limited to facilitating access to such AI technology through the Services. Labamu shall not be responsible for any errors, biases, or damages arising from the use of or reliance on AI-generated results.

 

D. Accounts and Membership

Account Registration. To use the Labamu Services, Users must register and create an account through the Website or App by providing true, accurate, current, and complete information, including relevant personal data. Users are responsible for maintaining the confidentiality of their password and all activities under their account. Labamu reserves the right to suspend or terminate any account if false information is found or if there is a breach of these Terms. By registering, Users retain ownership rights to the information uploaded but grant Labamu a non-exclusive, royalty-free, transferable license to use such information in connection with the provision of the Services. Labamu may delete any content that violates applicable laws, ethics, or public morality without prior notice.

 

Additional Accounts. Users may add additional accounts, including employee or team member accounts, on the Website/App. All activities carried out by such additional accounts are the full responsibility of the User who created them.

 

Membership and Subscription. Labamu offers several types of accounts, including free accounts (Basic) and paid subscription accounts with premium features and additional benefits (e.g., Premium or Pro). Subscription memberships may be subject to fees applicable at the time of registration, which are final and non-refundable, except under certain circumstances described in Section E. below. Labamu reserves the right to add, modify, or discontinue membership features, provided such actions do not contravene applicable law. Termination of a subscription by the User does not release the User from obligations incurred prior to such termination, including payment obligations.

 

Use of Personal Data. During registration and membership, Users consent to Labamu’s collection, storage, and processing of personal data in accordance with Labamu’s Privacy Policy. Users warrant that all information provided is true, accurate, current, and complete, and must update it in the event of any changes. Labamu reserves the right to suspend or terminate an account if the information is found to be false, misleading, or incomplete.

 

Identity Verification. To access certain Services, Users may be required to undergo an identity verification process by submitting relevant personal data, including but not limited to: National Identity Card (KTP), Family Card (KK), mobile phone number, biometric data, business entity data, or other additional information. By undergoing this process, Users authorize Labamu to forward such personal data to an appointed Electronic Certification Provider (“PSrE”) to validate User identity. Labamu and the PSrE reserve the right to reject or cancel the verification if the data is incomplete, inaccurate, invalid, and/or inconsistent with applicable laws and regulations.

 

E.   Refunds for Premium Services

In certain circumstances, Labamu may refund part or all of the payments made by Users, subject to applicable provisions. Refunds are only applicable in cases reasonably within Labamu’s control, including but not limited to system technical errors or service failures that materially affect the use of the Services.

 

Refunds for Premium Services may only be made under the following conditions: (i) Users requesting a refund must contact Labamu through official channels, either by email at cs@labamu.co.id or via the official customer service number, and provide proof of transaction along with the required information; (ii) refunds will be processed using the same payment method as the original transaction, unless otherwise agreed in writing; (iii) Labamu will process the refund within 14 (fourteen) business days after receiving all required documents and information; (iv) Users must submit refund requests no later than 30 (thirty) calendar days from the date of payment, requests submitted after this period shall be deemed invalid and will not be processed; (v) Labamu reserves the right to withhold part or all of the funds until an investigation is complete if there are indications of fraudulent activity, legal violations, or breaches of these Terms.

 

Labamu reserves the right, at its sole discretion, to determine eligibility for a refund, and its decision shall be final.

 

Exceptions. Labamu shall not be obliged to provide refunds if: (i) the User misuses their account or violates these Terms; (ii) the User uses the Services in a manner that violates the law or Labamu’s internal policies; (iii) The fees have arisen from valid Services that have already been accessed and used by the User.

 

F.   Access and Availability of Services

Labamu endeavours to maintain your continuous access to the Services, including the Website, App, materials, content, and available features. However, under certain circumstances, Labamu reserves the right to suspend, limit, or terminate part or all the Services, whether temporarily or permanently, with or without notice, provided such action does not contravene applicable laws.

 

Labamu shall not be liable for any disruption or unavailability of the Services caused by Force Majeure, User error or negligence, or technical issues beyond Labamu’s control.

 

If the Services are closed or discontinued, Labamu may return any balances or certain rights to the User after deducting applicable costs, including administrative fees, taxes, or other relevant charges.

 

Labamu also reserves the right to update, modify, or withdraw Services, features, or content, and to limit access to certain features, in order to improve quality or to meet operational requirements.

 

G. Limitation of Liability

To the maximum extent permitted by law, Labamu shall not be liable for any direct or indirect losses, including loss of revenue, profit, reputation, data, goodwill, or for any consequential, incidental, special, or punitive damages arising from: (i) the use of or inability to use the Services; (ii) technical failures, system disruptions, or data errors; (iii) unauthorized access, alteration, or loss of data; (iv) actions, statements, or omissions of third parties; (v) modifications to, or temporary/permanent discontinuation of the Services; (vi) the use of inaccurate information or content by Users; or (vii) any other issues related to the use of the Services.

 

Users agree to indemnify and hold harmless Labamu, its affiliates (entities under common ownership or control), officers, directors, commissioners, shareholders, and employees from any claims, demands, losses, or expenses (including legal fees) arising from breaches of these Terms or from User activities.

 

Labamu’s maximum liability shall be limited to the amount of Service fees paid by the User during the 1 (one) month preceding the event giving rise to the claim.

 

H. User Responsibilities and Conduct

Users agree to use the Services in accordance with applicable laws, regulations, and these terms. Users are responsible for all activities carried out through their accounts, including any actions taken by employees, agents, or other parties granted access by the User.

 

Transactions and Interactions. Labamu does not own or control any goods or services offered by Users and is not involved in transactions, payments, deliveries, or after-sales services between buyers and sellers. All such interactions are the sole responsibility of the Users.

 

User Data, Materials, and Content. Users are responsible for the accuracy of all information, data, and materials uploaded or shared through the Services and must ensure full compliance with applicable laws and regulations. Users are prohibited from publishing, uploading, or transmitting materials that are offensive, unlawful, threatening, defamatory, pornographic, sexual in nature, misleading, or that encourage criminal conduct. Labamu shall not be liable for any loss, misuse, or falsification of personal data resulting from User negligence and reserves the right to remove any content deemed to violate laws, ethics, public morality, or internal policies without prior notice.

 

Compliance with Financial and Regulatory Requirements. Users must ensure compliance with all applicable financial, payment system, and/or anti-money laundering laws when using any features related to payments, lending, or other financial services. Users are solely responsible for the accuracy of information submitted to third-party Financial Service Provider or Payment Service Provider and for fulfilling any regulatory or documentation requirements imposed by such entities.

 

Use of AI and Automated Features. Users must use any AI or automated features available within the Services responsibly, lawfully, and ethically. Users remain solely responsible for verifying the accuracy, completeness, and appropriateness of any AI-generated output before relying on or applying it in business or operational decisions. Users shall not use AI features to generate, transmit, or disseminate unlawful, discriminatory, or misleading content, or in a manner that violates the rights of others.

 

Lawful Use of Services. Users must use the Services only for lawful purposes. Any attempt to manipulate, misuse, or gain unauthorized access to the Services, systems, or data may result in account suspension or termination and potential legal action.

 

Force Majeure. Labamu shall not be liable for Service disruptions or unavailability caused by circumstances beyond its control, including but not limited to natural disasters, power outages, system failures, conflicts, riots, strikes, and/or government decisions.

 

Reporting Illegal Activities. Labamu may report fraudulent activities, money laundering, or other illegal acts to the authorities if evidence is available. Labamu will cooperate with law enforcement or judicial authorities that request or direct the disclosure of any individual’s identity involved in illegal activities.

 

Access Costs and Connectivity. Users are responsible for any internet, data, or connectivity fees required to use the Services and for maintaining secure network access.

 

Transaction Review and Fraud Prevention. Labamu reserves the right to review, investigate, or suspend any transaction or account where there are indications of fraud, misuse, or legal violations. In such cases, Labamu may temporarily withhold funds or restrict account access until investigations are complete.

 

Fraud Indications and Balance Withholding. Labamu reserves the right to (i) withhold part or all a User’s balance, and/or (ii) suspend or restrict account access if there are indications of fraud, account misuse, legal violations, or breaches of these terms, whether temporarily or permanently, until investigations are complete and appropriate actions are determined.

 

Compliance with Third-Party Services. Users agree to comply with the terms and conditions of all third-party service providers, including but not limited to Financial Service Provider, Payment Service Provider, and AI Providers, when using features integrated into the Services.

 

I.     Proposals

Users are discouraged from submitting ideas, suggestions, or creative materials to Labamu unless specifically requested. This policy is intended to avoid misunderstandings or potential conflicts, particularly if such ideas or materials are similar to projects or developments already undertaken by Labamu. Any creative materials submitted without an official request will be treated as non-confidential and shall remain the property of the User.

 

Users are fully responsible for any content they submit, whether by email or through the Services, including photos, illustrations, audio clips, or videos, along with any consequences arising from the distribution of such content.

 

Users, or the relevant third-party owners, retain patent, trademark, or copyright ownership of the content shared. Users are responsible for ensuring the protection of such rights and for obtaining the necessary licenses or permissions before sharing the content through the Services.

 

J.    Prohibited Activities, Products, and Services

General Prohibitions

  • Violating applicable laws, regulations, or requirements.

  • Misusing electronic information (e.g., obscene content, gambling, hoaxes, defamation, hate speech, threats, intimidation, etc.).

  • Unauthorized access, hacking, manipulation, or disruption of electronic systems.

  • Fraud, extortion, spam, pyramid/Ponzi schemes, money laundering, or terrorism financing.

  • Misuse or falsification of personal data.

  • Infringement of intellectual property rights, privacy rights, or third-party rights.

  • Sale of accounts, artificial manipulation of traffic/social media, or use of bots/scripts.

 

Prohibited Goods and Services

  • Obscene, immoral, or prostitution-related goods/services.

  • Counterfeit, imitation, pirated, or stolen goods.

  • Weapons, ammunition, gambling equipment, and hazardous/explosive items.

  • Goods infringing copyrights, trademarks, or other intellectual property rights.

  • Goods opposing the ideology of Pancasila or promoting hatred.

  • Criminally derived goods, human trafficking items, human body parts, or prohibited animals/plants.

  • Goods without proper import/export permits or prohibited under Indonesian law.

  • Certain tobacco/nicotine products that do not comply with regulations.

  • State documents, certificates, or certain custodial items.

  • Goods or services that encourage, facilitate, or instruct illegal activities.


Prohibited Food, Beverages, Medicines, and Cosmetics

  • Products lacking official distribution permits from BPOM or other relevant authorities.

  • Expired, hazardous, or improperly packaged products.

  • Alcoholic beverages that do not comply with regulations.

  • Narcotics, controlled drugs, anesthetics, slimming drugs, or other prohibited substances.


 

K.  Intellectual Property Rights

Labamu owns and shall retain all rights, title, intellectual property rights, and interests in and to: (i) all creations, inventions, trademarks, logos, goodwill, and related assets used in the provision of the Services; and (ii) any modifications, enhancements, or developments related to the Services; and (iii) all materials, documents, or content provided by Labamu to Users or other related parties.

 

Except as expressly stated, nothing in these Terms shall be construed as granting or transferring ownership of Labamu’s Intellectual Property Rights to Users, whether during or after the use of the Services. However, Users grant Labamu a non-exclusive, non-transferable, royalty-free license over any Intellectual Property Rights necessary solely for the operation of the Services, to the extent required for Labamu to provide the Services to Users or their related parties.

 

Users shall not, and must ensure that any party under their control or influence does not:(i) modify, adapt, develop, or create derivative works of the Services or Labamu materials; and/or(ii) reverse-engineer, decompile, disassemble, or take any other action that infringes Labamu’s Intellectual Property Rights.

 

L.   Advertising and Marketing Communications

By using Labamu’s Services, you agree to receive information related to the Services, including updates, promotions, and other relevant communications, which may be delivered via notifications, email, or other forms of communication. If you prefer not to receive such marketing communications, you may opt out at any time by contacting our customer service team.

 

M.    Governing Law and Dispute Resolution

These Terms, including any disputes, controversies, or claims arising out of or in connection with Labamu’s Services, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

 

Any dispute arising between Users and Labamu in relation to the implementation of these Terms shall first be resolved through amicable discussions within 30 (thirty) calendar days. If no resolution is reached, the Parties agree to settle the dispute through arbitration in accordance with the rules of the Indonesian National Arbitration Board (“BANI”), located at Wahana Graha, 1st & 2nd Floor, Jalan Mampang Prapatan No. 2, Jakarta 12760.

 

The arbitration shall be conducted by 1 (one) arbitrator in the Indonesian language. The BANI arbitration rules in effect at the commencement of the arbitration shall be deemed incorporated into this clause by reference. The arbitral award shall be final and binding on the Parties.

 

N. Disclaimer of Warranties and Recommendations

Labamu reserves the right to amend, add to, or remove policies contained in these Terms at any time, based on internal considerations, while remaining in compliance with applicable laws and regulations. Any changes will be communicated through the updated ‘effective date’ indicated at the top of this page.

You acknowledge and agree that any comments or suggestions you provide are not binding on Labamu, and Labamu has no obligation to act upon or implement such suggestions.

 

O. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and your relationship with Labamu, constitute the entire agreement between the User and Labamu regarding the Services.

 

Amendments. Certain provisions contained in these Terms may be superseded by specific provisions or notices published elsewhere within the Services. Users remain bound by these Terms as the Service agreement between the User and Labamu, as well as by all amendments or changes to these Terms, unless the User expressly objects to such changes.

 

No Waiver. Labamu’s failure to enforce any right or provision under these Terms shall not be deemed a waiver of such right or provision, and Labamu remains entitled to enforce it later.

 

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

Time Limit for Claims. Unless otherwise required by law or regulation, any claim or action arising out of or relating to the use of the Services or these Terms must be filed within 1 (one) after the event giving rise to such claim; otherwise, it shall be permanently barred.
